Terms & Conditions
These terms and conditions apply to all orders placed with Boxes Etc… These are business-to-business terms. By placing an order with us, you confirm that you are acting in the course of a business.

2. Scope of These Terms
These terms and conditions govern all quotations, orders and supply of goods between Boxes Etc… and its business customers. They apply to the exclusion of any other terms that a customer may seek to impose or incorporate.
These terms apply to trade customers only. All buyers confirm they are purchasing in the course of a business.
3. Quotations and Orders
All quotations are valid for 30 days from the date of issue unless otherwise stated in writing.
A contract between Boxes Etc… and the customer is formed when Boxes Etc… accepts an order in writing (including by email). Boxes Etc… reserves the right to decline any order at its discretion.
Order quantities, specifications and delivery addresses must be confirmed in writing before production or despatch begins. Changes requested after this point may not be possible and may incur additional costs.
4. Pricing
All prices quoted are exclusive of VAT unless otherwise stated. VAT will be charged at the rate applicable at the time of invoice.
Prices are subject to change without notice prior to order acceptance. Once an order has been accepted in writing, the agreed price will be honoured for that order.
5. Payment
Payment terms will be stated on each invoice. Standard terms are payment within 30 days of invoice date unless agreed otherwise in writing.
Boxes Etc… reserves the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 at the statutory rate of 8% above the Bank of England base rate.
Boxes Etc… reserves the right to suspend or cancel orders where a customer has an outstanding overdue balance.
6. Delivery
Delivery dates provided are estimates only and do not constitute a contractual commitment. Boxes Etc… will use reasonable endeavours to meet estimated delivery dates.
Risk in the goods passes to the customer on delivery. Ownership of goods remains with Boxes Etc… until full payment has been received.
Customers must inspect goods on delivery and notify Boxes Etc… of any visible damage or shortfall within 48 hours of receipt. Claims made after this period may not be accepted.
7. Returns and Defective Goods
Boxes Etc… will not accept returns of goods ordered correctly to specification unless those goods are defective.
If goods are found to be defective or incorrectly supplied, the customer must notify Boxes Etc… in writing within 5 working days of delivery, providing details and photographic evidence where possible. Boxes Etc… will investigate and, where a valid claim is confirmed, will either replace the goods or issue a credit note at its discretion.
Bespoke and custom-printed goods are non-returnable unless defective.
8. Samples
Samples are provided in good faith to assist the customer in making a purchasing decision. Provision of samples does not constitute a commitment to supply or a contractual agreement.
9. Intellectual Property
Any artwork, designs or print files supplied by the customer remain the intellectual property of the customer. The customer warrants that they have the right to use any artwork supplied and indemnifies Boxes Etc… against any third-party claims arising from the use of customer-supplied artwork.
Artwork, designs and specifications created by Boxes Etc… remain the intellectual property of Boxes Etc… until full payment for those services has been received.
10. Limitation of Liability
Boxes Etc…’s liability to the customer for any claim arising out of or in connection with an order shall not exceed the value of that order.
Boxes Etc… shall not be liable for any indirect, consequential or economic loss, loss of profit, loss of business or loss of goodwill arising from any order or failure to supply, even if advised of the possibility of such loss.
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.
11. Force Majeure
Boxes Etc… shall not be in breach of these terms or liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to material shortages, transport disruption, industrial action or acts of God.
12. Privacy
Boxes Etc… processes personal data in accordance with its Privacy Policy and applicable data protection law including UK GDPR. Customer data is used only for the purposes of fulfilling orders and managing the business relationship.
13. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to These Terms
Boxes Etc… reserves the right to update these terms and conditions at any time. The version in force at the time an order is placed will apply to that order.
